The Executive Director/Vice President – Legal (depending on experience level) is responsible for providing legal support to the General Counsel and the company for SEC matters, Board of Director and corporate governance issues, licensing and other transactional agreements.

This individual and his/her reports also provide support to the Company's G&A functions, including Human Resources, Finance, IT, and Facilities, as well as Manufacturing, Technical Operations, Quality Assurance, Business Development, Clinical Operations, R&D and certain aspects of Medical Affairs.  This individual also oversees the Company's contracting process and database.  In addition, the Executive Director/Vice President - Legal is responsible for developing innovative and strategic solutions to complex legal and compliance issues and collaborates with other members of the Legal Department and cross-functionally with other departments to identify and handle legal issues affecting the Company.

*Essential Duties and Responsibilities include the following. Other duties may be assigned.

  •  At least five years of meaningful experience in a law firm managing US securities transactional and regulatory matters, including 34 Act compliance, public and private debt and equity offerings, proxy statement preparation and annual meeting cycle management, and public company governance matters.
  • Experience advising on securities regulation, including securities law reporting, compliance and disclosure issues, shareholder meeting matters, stock exchange listing requirements, corporate governance, board matters, and executive and equity compensation.
  • Provides expert advice on securities laws, corporate governance, corporate secretarial and general corporate matters.
  • Leads legal preparation of and submits SEC filings and participates in development of investor relations documents and messaging.
  • Helps oversee and maintain current corporate records and filings.
  • Assists the General Counsel in staying current on and advising the Board regarding governance related matters.
  • Drafts licensing and other transactional agreements, works with Business Development to negotiate and execute transactions, and assists in the evaluation of existing agreements.
  • Provides advice to internal client groups, including Human Resources, Finance, IT, Facilities, Manufacturing, Technical Operations, Quality Assurance, Clinical Operations and Development, Medical Affairs, and Business Development about how to meet business goals while maintaining complete compliance with required laws, regulations, and company policy and procedures.
  • Drafts and negotiates various vendor, consulting, and other agreements for specified functional areas across the Company.
  • Interacts with internal business clients at various levels of management and across the Company.
  • Undertakes ongoing performance review, feedback and development of staff.
  • Assists with talent recruitment and is a member of a highly motivated, efficient and effective team.
  • Responsible for budget accountability for assigned functions.
  • Manages insider trading program and prepares and files Section 16 reports (I.e., reporting of Forms 3, 4 and 5).
  • Effectively and efficiently manages outside counsel on a variety of matters.

 Education and/or Experience:   

  • Juris Doctor required and admission to and in good standing with the bar of at least one state or the District   of Columbia required.
  • A minimum of 8 years of progressive legal experience required, including at least 5 years of meaningful experience in a law firm managing US securities transactional and regulatory matters.
  • Previous law firm experience and in-house experience with a biotech or pharmaceutical company preferred.
  • Experience advising on securities regulation, including securities law reporting, compliance and disclosure issues, shareholder meeting matters, stock exchange listing requirements, corporate governance, board matters, and executive and equity compensation.
  • Experience with SEC filings, corporate records and corporate governance required.

 Supervisory Responsibilities:

  •  This position supervises attorneys, paralegals and an administrative assistant.

 Qualifications:

  • Strong SEC and corporate governance expertise is required.
  • Significant M&A experience is required.
  • Familiarity with federal and state pharmaceutical laws is an advantage.
  • General business and commercial law experience is required, including drafting and negotiating a wide variety of contracts.
  • Broad understanding of the pharmaceutical and/or life sciences industry is preferred.
  • Must have the ability to build trust and maintain open and honest relationships through clear communication, alignment of goals and mutually acceptable solutions.
  • Must be comfortable and confident counseling and interacting with C-level executives and Directors.
  • Excellent analytical, detail-oriented, organization and information-seeking skills
  • Excellent written and verbal communication skills and interpersonal relationship skills including negotiating and relationship management skills with ability to drive achievement of objectives
  • Recognized as an expert within field and willing to go beyond own function and comfort zone

 Computer Skills:   Must be proficient in MS Office Suite 

 Certificates, Licenses, Registrations:  JD in at least one US state or the District of Columbia.

Physical Demands:

The physical demands here are representative of those that must be met by an employee to successfully perform the essential functions of this job.

This position requires minimal travel; average travel for this position is about 10% with some variation based upon the demands of the business imperatives. Travel is for attendance at meetings and conferences.

  • Attendance in the office at least two days per week is encouraged and recommended. However, the Company remains flexible given the current health environment and remote alternatives are available.
